Terms and Conditions

1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Inspire Music AI (“we,” “us,” or “our”), concerning your access to and use of the Inspire Music AI application (the “Service”). Our Service provides a platform for music discovery and streaming, with all music content provided through the Jamendo API. By accessing or using our Service, you agree to be bound by these Terms and also by the Jamendo API Terms of Use, which can be found at https://devportal.jamendo.com/api_terms_of_use. If you do not agree with all of these terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated, the Service itself—including all source code, databases, functionality, software, and graphics (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”)—are owned or controlled by us or licensed to us.

All music, audio content, and related metadata (“Music Content”) are provided by Jamendo and are the property of Jamendo or its licensors (the artists). This Music Content is protected by copyright and other intellectual property laws. The Service displays proper attribution to Jamendo and the respective artists, including artist name and a link to the original content on the Jamendo platform, in accordance with the Jamendo API Terms of Use. Much of the music on Jamendo is licensed under Creative Commons licenses.

3. Non-Commercial Use and Restrictions

Jamendo grants you a limited, non-exclusive, non-transferable license, via the Service, to access and stream the Music Content solely for your personal, non-commercial purposes. This license is contingent on your compliance with these Terms.

You expressly agree that you will not use the Service for any commercial advantage or monetary compensation. Prohibited commercial uses and other restrictions include, but are not limited to, the following:

  • You may not publicly perform, broadcast, or display the Music Content.
  • You may not sell, rent, lease, or redistribute the Music Content.
  • You may not download, copy, cache, or store Music Content, except for temporary files necessary to enable streaming on your personal device. Caching is only permitted to the extent reasonably necessary for the operation of the Service.
  • You must not use the Service or its Music Content to create a competing service or application.
  • You may not reverse-engineer, decompile, or otherwise attempt to discover the source code of the Service.
  • You will not replicate the overall experience of Jamendo services, and you must ensure the application’s appearance is not confusingly similar to the design or look and feel of any part of the Jamendo services.

4. Third-Party Services (Jamendo)

Our Service is a client for the Jamendo API. You acknowledge that the availability, quality, and legality of the Music Content are entirely dependent on Jamendo. We are not responsible for any interruptions, inaccuracies, content takedowns, or other issues with the content provided by Jamendo. We do not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Service.

5. Prohibited Activities

You may not access or use the Service for any purpose other than that for which we make it available. You agree not to:

  • Use the Service in any manner that violates the Jamendo API Terms of Use or the licensing terms of the Music Content.
  • Engage in any unauthorized commercial use of the Music Content.
  • Circumvent, disable, or otherwise interfere with security-related features of the Service or features that enforce limitations on use of the Music Content.
  • Systematically retrieve data or other content from the Service to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
  • Use the Service in a way that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service.
  • Use the Service or any Content for any purpose that is fraudulent, illegal, libelous, defamatory, offensive, or discriminatory.

6. Term and Termination

These Terms and Conditions shall remain in full force and effect while you use the Service. WE RESERVE THE RIGHT, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, TO DENY ACCESS TO AND USE OF THE SERVICE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OR OF ANY APPLICABLE LAW OR REGULATION.

7. Disclaimer of Warranties

THE SERVICE AND ALL MUSIC CONTENT ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, COMPLETENESS, OR LEGALITY OF THE MUSIC CONTENT PROVIDED BY JAMENDO AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICE, OR (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS.

8. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US.

9. Governing Law

These Terms shall be governed by and defined following the laws of the State of California, United States, without prejudice to the applicable law governing the Jamendo API Terms of Use. Inspire Music AI and yourself irrevocably consent that the courts of California shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
